Suzanne Raina Natbony is an experienced third generation lawyer with a diverse background practicing transactional, regulatory-compliance and dispute resolution law, across multiple business sectors, from startup to acquisition.  She has advised physicians, allied health professionals, entertainment talent, architects, business executives, nonprofits and other professionals on a variety of business matters, from California, to Europe, to Asia and Australia.  Ms. Natbony regularly counsels on acquisitions, intellectual property rights, strategic business planning, management, corporate strategy and governance, product development, market research and a variety of corporate, business and employment contracts.  

In addition to practicing law, Ms. Natbony has garnered entrepreneurial and managerial experience working in-house for three startups.  Currently, as cofounder and Chief Executive Officer for LawTake, an online legal services platform, Ms. Natbony helps create new businesses, manages operations, structures business aspects of legal compliance, directs financial operations in order to the maximize revenue streams, drafts and negotiates contracts and establishes and protects intellectual property, including patenting video streaming and online documents creating technology for ecommerce platforms.  Ms. Natbony is also General Counsel of Beverly Hills Rejuvenation Center, a multi-state medical spa.

Ms. Natbony studied on three continents.  During law school, Ms. Natbony completed legal course work as a Visiting Student at Pepperdine and Georgetown, as a Special Student at Loyola Law School, and through an international study abroad program at the University of Technology, Sydney, Australia.  She also studied International Politics during a semester abroad at Cambridge University, while an undergraduate.

Representative Cases

  • General Counsel for a multi-state medical spa, including advising on corporate governance issues, forming new entities, healthcare regulatory compliance, drafting agreements, advising on transactions, intellectual property, advertising and employment law issues.
  • Legal Advisor for a think tank and design-innovation incubator dedicated to exploring the nexus of architecture, neuroscience and gaming to build better futures for humanity.
  • Structured and setup multi-state entity operation for franchising, including LLCs, and professional corporations and brought together team for tax advice implications; also drafted operating agreements and other formation documents, qualified entities to do business and obtained DBAs.
  • Conducted due diligence for both startups and investors and drafted consulting agreements and various contracts to evidence investments.
  • Obtained a settlement on behalf of a physician inventor- investor in a million dollar contract for a technology business, without having to file a complaint or submit to ADR.
  • Assisted a New York hedge fund with expansion to California through lease negotiation, advising on employment laws and obtaining local licenses and business permits.
  • Obtained trademarks, advised about licenses and patent protection for clients in various industries, including, medical device, food & beverage, cosmetics and dietary supplements.
  • Drafted option for a screenplay and advised about other ways to monetize creative endeavors through joint venture agreements and other legal means.
  • Settled case for a healthcare client who was sued by one of the nation’s largest retailers involving breach of contract and insurance claims, for only a fraction of the amount of the claim, including legal costs.
  • Resolved multi-million dollar personal dispute that involved negligence, concealment/misrepresentation, sexual battery, intentional infliction of emotional distress and domestic violence.
  • Advised and assisted with the acquisition of property, using a 1031 exchange, to be held in a holding company.
  • Conducted legal research and drafted policies for the Federal Judicial Center in Washington, D.C.
  • Drafted and revised Bylaws and advised on IRS regulations for several non-profits.
  • Reviewed marketing materials and website for FTC compliance and copyright issues, drafted language, including Terms of Use, Privacy Policies and disclaimers for several companies.
  • Negotiated a physician partnership agreement, while advising the client about Stark/Anti-kickback laws.
  • Drafted language for proposed federal statutes, after researching public policy.
  • Resolved various employment and partnership disputes on both sides of the table, through representing business owners/employers, employees and independent contractors.
